Terms and Conditions

These Terms and Conditions govern the use of https://www.rexcode.co.uk and the digital services provided by Rexcode Digital LTD, a company registered in the United Kingdom. By accessing this website, requesting a quote, approving a project, making a payment, or using our services, you agree to these Terms.

1. Definitions

In these Terms:

  • “Rexcode”, “we”, “our”, or “us” means Rexcode Digital LTD.
  • “Client”, “you”, or “your” means the person, company, or organisation using our website or purchasing our services.
  • “Website” means https://www.rexcode.co.uk.
  • “Services” means the digital, design, development, Shopify, Webflow, audit, optimisation, consulting, and related services provided by Rexcode.
  • “Agreement” means these Terms together with any accepted quote, written proposal, invoice, statement of work, project brief, or written agreement between Rexcode and the Client.
  • “Deliverables” means the final digital work supplied to the Client as part of the agreed project scope.

2. Acceptance of These Terms

By using this website, submitting a form, requesting a quote, approving a proposal, making a payment, or instructing Rexcode to begin work, you confirm that you accept these Terms and any related policies referenced on our website.

If a separate written agreement or statement of work is agreed between Rexcode and the Client, that document will apply together with these Terms. If there is a conflict, the specific written agreement will take priority for that project.

3. Services

Rexcode provides digital services, including but not limited to:

  • Shopify store development
  • Shopify theme customisation
  • Shopify bug fixes and technical improvements
  • Shopify optimisation and conversion rate improvements
  • Shopify migration and store setup
  • Webflow development and website improvements
  • Landing page design and development
  • UX/UI improvements and visual design enhancements
  • Store audits, website audits, and consultancy
  • Ongoing support, where separately agreed

All services are delivered digitally and are based on the agreed scope, timeline, information, materials, and access provided by the Client.

4. Quotes, Proposals, and Project Agreement

Quotes, estimates, proposals, and timelines are based on the information available to us at the time they are prepared. Unless otherwise stated in writing, quotes are valid for 30 days from the date they are issued.

A project is considered accepted when the Client confirms approval in writing, pays the required upfront payment, signs or accepts a proposal, or otherwise instructs Rexcode to begin work.

Any change in requirements, missing information, additional features, third-party limitations, or platform restrictions may affect the price, timeline, and delivery date.

5. Payments

Unless otherwise agreed in writing, each project requires a 40% upfront payment before work begins. Rexcode is not required to start work until the required upfront payment has been received.

The remaining balance is payable according to the agreed payment schedule, milestone, invoice, or before final delivery, handover, launch, transfer, or publication of the completed work, unless otherwise agreed in writing.

By making payment, the Client confirms:

  • Acceptance of the agreed scope, pricing, timeline, and payment terms
  • Acceptance of these Terms and any related policies
  • Authorisation for Rexcode to begin work

Late, missing, reversed, or disputed payments may result in delays, suspension of work, withholding of deliverables, cancellation of services, or additional administrative fees where permitted by law.

6. Project Scope and Changes

Each project is delivered according to the agreed scope of work. The scope may be defined in a proposal, invoice, email, project brief, statement of work, or other written communication.

  • Any work outside the original scope may require additional fees
  • Additional requests may extend the project timeline
  • Rexcode is not obligated to perform work outside the agreed scope
  • New features, new pages, new integrations, major design changes, or new strategy requests are not considered standard revisions

If the Client requests changes outside the original scope, Rexcode may provide a separate quote or revised timeline.

7. Revisions

Unless otherwise agreed in writing, each project includes two revisions within the original agreed scope.

  • Revisions must relate to the original scope of work
  • Additional revisions may incur extra charges
  • New features, new pages, structural changes, new integrations, or major design direction changes may be treated as additional work
  • Excessive, repeated, unclear, or unreasonable revision requests may be refused or quoted separately

Revision requests should be provided clearly and in writing so they can be reviewed, estimated, and implemented efficiently.

8. Client Responsibilities

The Client agrees to:

  • Provide accurate, complete, and timely information
  • Provide all required materials such as logos, brand assets, copy, images, product information, access credentials, and reference files
  • Ensure they have the legal right to use any materials supplied to Rexcode
  • Provide access to necessary platforms, including Shopify, Webflow, domain registrars, apps, email systems, analytics tools, or other relevant platforms
  • Respond to communication in a timely manner
  • Review deliverables carefully and provide feedback within reasonable timeframes
  • Maintain appropriate backups of their own website, store, data, content, and third-party accounts

Delays caused by missing information, late feedback, third-party platform issues, or delayed access from the Client may extend the timeline and do not qualify for refunds.

9. Communication

Email is the primary method of communication unless another communication method is agreed in writing. Rexcode may also communicate through project tools, video calls, messaging platforms, or other channels where suitable.

The Client is responsible for monitoring their communication channels and responding to project-related messages, approvals, questions, invoices, and feedback requests in a timely manner.

10. Abandoned or Delayed Projects

If the Client does not respond, provide required materials, approve work, or otherwise communicate for 30 days or more, Rexcode may pause or archive the project.

If an archived project is later restarted, additional fees may apply to cover re-planning, re-scheduling, review of previous work, platform changes, or renewed project management time.

Rexcode is not responsible for missed deadlines, increased costs, or outdated work caused by Client delay or lack of communication.

11. Delivery, Handover, and 30-Day Bug Support

Delivery may include publishing work, handing over files, transferring a Shopify development store, providing access, completing agreed tasks, or otherwise making the agreed deliverables available to the Client.

Unless otherwise agreed in writing, Rexcode provides 30 days of post-delivery bug-fix support for technical errors directly related to the delivered work and within the original project scope.

This 30-day support does not include:

  • New features, new sections, new pages, or new functionality
  • Additional design revisions or subjective design changes
  • Issues caused by Client edits, third-party developers, app updates, theme updates, platform changes, or third-party services
  • Ongoing maintenance, content updates, product uploads, SEO work, marketing, or analytics configuration unless separately agreed

After the 30-day support period, additional fixes, support, revisions, or maintenance may be charged separately.

12. Shopify Accounts, Access, and Store Transfer

Rexcode may assist with Shopify stores, development stores, theme edits, app configuration, migration, store setup, and other Shopify-related work.

  • Rexcode may request collaborator access, staff access, theme access, or other limited permissions where required
  • The Client is responsible for granting, monitoring, and revoking access where appropriate
  • Rexcode may create Shopify development stores where applicable
  • Ownership may be transferred to the Client upon completion and payment of outstanding balances
  • The Client assumes full responsibility for the store after handover or transfer

This includes responsibility for:

  • Shopify billing and subscription management
  • Shopify policies, platform rules, and account compliance
  • Store content, product listings, legal pages, operations, taxes, and customer service
  • Apps, integrations, third-party tools, payment providers, and shipping settings

Rexcode may participate in Shopify partner, affiliate, referral, or similar programs where applicable.

13. Third-Party Platforms, Apps, and Costs

Rexcode services may involve third-party platforms, tools, apps, themes, plugins, fonts, domains, hosting, payment providers, analytics tools, or other external services.

The Client is responsible for all third-party costs unless otherwise agreed in writing, including:

  • Shopify plans and transaction fees
  • Premium themes, apps, plugins, extensions, or integrations
  • Domain names, renewals, hosting, DNS, email, or platform subscriptions
  • Paid fonts, stock images, media assets, or licensed materials
  • Payment provider fees, bank fees, currency conversion fees, or taxes

Rexcode is not responsible for third-party downtime, outages, pricing changes, policy changes, account suspensions, app conflicts, data loss, security incidents, or errors caused by third-party systems.

14. Domain and Hosting

Rexcode may assist with domain setup, DNS configuration, hosting setup, or platform connection where agreed. However, the Client remains responsible for purchasing, renewing, managing, and securing their own domains, hosting accounts, subscriptions, and related platform accounts.

  • The Client retains ownership of domains they purchase
  • The Client is responsible for renewal payments and account access
  • Rexcode is not responsible for third-party registrar, DNS, hosting, or platform issues

15. Browser and Device Compatibility

Unless otherwise agreed in writing, Rexcode aims to support the latest stable versions of major modern browsers, including Google Chrome, Safari, Microsoft Edge, and Mozilla Firefox.

Older browsers, unsupported devices, unusual screen sizes, outdated operating systems, third-party browser extensions, or heavily customised environments may not be fully supported unless specifically included in the project scope.

16. Performance, SEO, and Business Results

Rexcode may provide optimisation, design, development, SEO-related, CRO-related, or performance-related recommendations. However, Rexcode does not guarantee any specific commercial, technical, ranking, or performance outcome.

We do not guarantee:

  • Revenue, profit, leads, sales, conversion rate, or business growth
  • Google rankings, SEO results, indexing speed, or search engine visibility
  • Specific PageSpeed, Lighthouse, Core Web Vitals, or performance scores
  • Approval by third-party platforms, ad networks, payment providers, or app marketplaces

Results depend on many factors outside Rexcode’s control, including traffic quality, product-market fit, pricing, offer, competition, platform changes, search engine updates, advertising activity, and Client operations.

17. Intellectual Property

Upon full payment of all outstanding amounts, the Client receives the right to use the final agreed deliverables for their intended business purpose, subject to these Terms and any third-party licences.

Rexcode retains ownership of its pre-existing materials, reusable code, internal frameworks, processes, templates, know-how, methods, snippets, design systems, utilities, and general skills developed before or during the project, unless expressly transferred in writing.

Third-party assets, apps, themes, fonts, plugins, scripts, libraries, or open-source materials remain subject to their own licences. The Client is responsible for complying with any third-party licence terms that apply to assets or tools used in their project.

18. Client Content and Legal Responsibility

The Client confirms that they own or have the necessary rights, permissions, and licences to use all content, materials, files, images, videos, logos, trademarks, product information, copy, data, and other assets supplied to Rexcode.

The Client is responsible for the accuracy, legality, compliance, and suitability of all content they provide, including product claims, legal pages, privacy notices, terms, refund policies, pricing, taxes, shipping information, marketing claims, and customer-facing information.

19. Portfolio and Marketing Rights

Unless otherwise agreed in writing, Rexcode may display completed work, project visuals, screenshots, brand names, links, summaries, results, or case study materials in its portfolio, website, social media, presentations, proposals, and marketing materials.

If the Client asks Rexcode to remove or avoid displaying a specific project, Rexcode will review and reasonably honour that request where practical, especially where confidentiality or commercial sensitivity is involved.

20. Confidentiality

Rexcode will treat confidential business information provided by the Client with reasonable care. Confidential information may include private business information, store access details, unpublished project details, financial information, internal documents, customer information, or commercially sensitive materials.

Confidentiality does not apply to information that is already public, independently known, lawfully obtained from another source, required to be disclosed by law, or necessary to share with service providers for the purpose of delivering the agreed services.

21. Ongoing Support and Maintenance

No long-term support, monitoring, maintenance, backups, security management, updates, or ongoing optimisation is guaranteed unless it is included in the agreed project scope or covered by a separate support or maintenance agreement.

Ongoing support, additional maintenance, new requests, platform updates, theme updates, app conflicts, or additional technical work may require a separate quote and additional fees.

22. Suspension and Termination

Rexcode reserves the right to refuse, suspend, or terminate services where:

  • The Client fails to make required payments
  • The Client repeatedly fails to provide required information, access, or feedback
  • The Client requests unlawful, harmful, abusive, misleading, or unethical work
  • The Client behaves abusively, fraudulently, threateningly, or unprofessionally
  • The project creates legal, reputational, financial, or operational risk for Rexcode
  • The Client breaches these Terms or any agreed project terms

Work completed up to termination remains payable. Fees already paid may be non-refundable depending on the work completed, time spent, resources allocated, and the Refund Policy.

23. Refunds

Refunds are governed by the Refund Policy. In general, payments cover reserved time, planning, communication, strategy, project management, design, development, implementation, and other work performed.

Refund eligibility may depend on whether work has started, the amount of work completed, resources allocated, the stage of the project, and the specific written agreement between Rexcode and the Client.

24. Website Use

All content on this website, including text, graphics, layouts, visuals, branding, icons, design elements, code, and other materials, is owned by or licensed to Rexcode unless stated otherwise.

  • Unauthorized copying, reproduction, scraping, resale, or redistribution is prohibited
  • Misuse of website content, systems, forms, or functionality may result in legal action
  • You must not attempt to disrupt, damage, reverse engineer, overload, or gain unauthorised access to the website

25. Force Majeure

Rexcode is not responsible for delays or failure caused by events beyond its reasonable control, including natural disasters, internet outages, cloud service outages, Shopify or Webflow outages, third-party platform failures, cyberattacks, labour disputes, illness, government actions, war, terrorism, power failures, payment provider disruption, or other events outside our control.

26. Limitation of Liability

To the fullest extent permitted by law:

  • Rexcode shall not be liable for indirect, incidental, special, punitive, or consequential damages
  • Rexcode shall not be liable for loss of revenue, profit, sales, data, goodwill, business, opportunity, rankings, or reputation
  • Rexcode shall not be liable for issues caused by third-party platforms, Client actions, unauthorised edits, or materials supplied by the Client

Where liability cannot legally be excluded, Rexcode’s total liability shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

27. Disclaimer

Services and website content are provided on an “as is” and “as available” basis. Rexcode makes no guarantee that the website, services, platforms, integrations, or deliverables will be uninterrupted, error-free, continuously available, or suitable for every specific purpose unless expressly agreed in writing.

28. Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining parts will continue to apply to the fullest extent permitted by law.

29. Entire Agreement

These Terms, together with any accepted quote, invoice, proposal, project brief, statement of work, or written agreement, form the entire agreement between Rexcode and the Client for the relevant services.

30. Assignment

The Client may not transfer or assign their rights or obligations under an Agreement without Rexcode’s prior written consent. Rexcode may assign or transfer its rights and obligations where necessary as part of business operations, restructuring, sale, merger, or use of subcontractors or service providers.

31. Governing Law

These Terms shall be governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

32. Governing Language

These Terms are provided in English. If any translation is provided for convenience, the English version shall prevail in the event of any conflict or inconsistency.

33. Changes to These Terms

Rexcode may update these Terms from time to time to reflect changes in our services, business practices, website, legal requirements, or operations.

When changes are made, the “Last updated” date at the top of this page will be updated. Continued use of the website or services after changes are published means the updated Terms apply from that date.
